Three siblings own an LLC for a property. One sibling is commingling funds by living in the property and is expected to pass away soon. My client wants to remove this sibling from the LLC and does not want her membership interest to pass to her heirs; they want her membership interest split among the other members. The Operating Agreement states that the LLC dissolves upon her death but is unclear whether her interest is split among the remaining members or goes to her heirs passively. My initial goal was to settle for a buyout; however, the buyout amount is significant. Due to the commingling of funds and the ambiguity regarding how this sibling's interest will pass, and since I am not a litigator, my client seeks a paid consultation/review of the facts by a litigation attorney to understand their chances of success in court. They are exploring the risk of kicking her out without paying (or paying very little) from a litigation perspective, based on the ambiguous Operating Agreement language and the commingling issues. Additionally, they seek possible litigation assistance in the future if they choose not to settle based on this analysis or if the settlement is unsuccessful.

A potential client for a different engagement is owed an unpaid commission. He and an online broker agreed with a buyer on a fee for the sale of a bankruptcy claim. Buyer (who knew about the fee and was in direct contact with the potential client) paid the fee to online broker. Online broker was supposed to remit that to potential client, but only paid $105K of the $165K owed. Online broker claimed that this was because the potential client was flagged by its bank (he is based in China), but this seems inconsistent with prior dealings and the $105K that was sent. Ultimately this will have to be handled by a Texas litigator based on the information I have. Client is open to hourly, billable or hybrid, but in any case will not want more than 25-30% of the $60K to be spent on legal fees.

A client of mine sold his bankruptcy claim for his holdings in FTX. The assignment of claim included an excess claim clause. It is looking like claims may be paid out at 120 or 140%. The agreement states that if the buyer receives any distributions in excess of the claim amount, the seller is entitled to his share of the sale. The buyer is claiming that the clause only applies if claim amount is increased, not if there are distributions above the claim amount, which seems to me to be not aligned with the plain language of the agreement. The claim was for $1.6M so my client's share in dispute would be approximately $300k. We'd like to know if we can file a dispute over the claim in bankruptcy court to hold up any distribution and then litigate to determine whose interpretation of the agreement is correct.

Prior to that he was hourly+commission as sales. PNC was accused of not supervising properly. PNC was unaware of the drug use by some of the people he supervised. The Regional manager had also become aware of the drug use outside of workplace (months prior), but did not train or instruct the PNC (store manager) how to handle such employees. Decedent leapt from the ambulance, ran to a subway station, and jumped in front of a train.
