Practice Summary

Albert focuses his practice on corporate, securities, technology, and licensing transactions, as well as executive employment matters, with a special emphasis in the software, communications, entertainment, media, and fintech industries. He routinely represents startups, early-stage, and high growth companies in negotiations of debt, equity, and M&A transactions; licensing, distribution, and strategic alliance agreements; as well as corporate formation, structure, and operational matters. He served initially as outside general counsel and subsequently as head of finance, administration and law for a Silicon Valley software company which was acquired for $30 million in 1996. Albert has served as a trusted advisor and legal counsel to directors, management teams, and significant investors in several venture-backed and public companies. Albert has also guided his clients through securities compliance issues and has developed corporate ethics and compliance programs. He has represented corporate and individual clients in complex commercial, intellectual property, and executive compensation litigation in state and federal courts. Albert represented one of the defendant’s in Architext, Inc. v. Kikuchi, et al., 20 Mass. L. Rep. 127 (May 19, 2005), 2005 Mass. Super. LEXIS 487, 2005 WL 2864244, the leading Massachusetts state court trade secrets case, wherein the trial court declined to adopt the "inevitable disclosure" doctrine and denied the plaintiff's motion for preliminary injunction and attachments. Prior to his law practice, Albert held sales and management positions with several large computer companies, where he developed and managed the relationships with their largest customers. He held Series 7 and 66 securities licenses as a former UBS and Merrill Lynch financial advisor. Albert is an adjunct faulty member of New England Law | Boston, where he teaches the capstone business planning course. He was formerly an adjunct professor of ethics and business law at Atlantic Union College and was appointed to the adjunct faculty of Worcester Polytechnic Institute’s graduate school of business just prior to relocating to South Florida in 2006.
