Brenda is an experienced corporate attorney whose practice is concentrated in middle market mergers and acquisitions, commercial contracts, and corporate governance. She advises private equity buyers and sellers, closely held companies, and entrepreneurs in connection with the full lifecycle of M&A transactions — from initial due diligence and principal agreement negotiation through post-closing integration, entity consolidation, and commercial contract harmonization. Since 2020, Brenda has closed more than 27 transactions spanning a wide range of industries, including cloud services, technology, manufacturing, automotive, life sciences, hospitality, and franchise businesses. Brenda's M&A experience includes representing private equity clients in platform acquisitions and multi-add-on acquisition programs, as well as sell-side representations of closely held companies in transactions with both public company and private equity buyers. In her commercial contracts practice, Brenda acts as outside general counsel to small and mid-sized companies across a variety of industries. She drafts and negotiates a broad range of agreements, including software licensing and SaaS agreements, technology development and distribution agreements, master service agreements, reseller agreements, endorsement agreements, manufacturing and procurement contracts. She also counsels clients on corporate formation, governance matters, and presentation of capitalization tables. Brenda earned her J.D. from the University of North Carolina School of Law, and her B.B.A. summa cum laude from Pace University. She is admitted to practice in California, New York, and New Jersey, and is also a Certified Public Accountant (C.P.A.) licensed in New York.
