Personal Introduction

I am an attorney known for providing corporate strategies for those dealing with something messy or seeking something unique. I am a business-minded attorney with M&A expertise. From practicing law at one of the top firms in the world (Weil) to being a seasoned entrepreneur with numerous successful exits as both a founder/operator and private equity investor, I marry my legal and business careers to bring an unrivaled viewpoint to unique and unconventional transactions. I founded Transition Point Law to give business owners and investment funds the experience that I was looking for while operating companies/funds myself. Prior to founding Transition Point Law, I was the co-founder of venture-backed startup Enlighten, a leading canntech company, which had a successful exit in 2022 to Weedmaps (Nasdaq: MAPS). And, thereafter, I spent two years as part of senior management and the c-suite of multiple public companies before returning to the full-time practice of law. I solve complex problems and negotiate high-stakes deals for companies in a wide array of businesses including digital media, ad tech, mobile apps, IoT, health & wellness, cannabis, food/service, financial services, professional services, construction and commercial real estate.

Practice Summary

My personal superpowers can categorized as (1) structuring unique (or messy) M&A transactions in the micro/lower-middle market (2) negotiating business breakups/buyouts and (3) negotiating and structuring large and complex partnerships and joint ventures. Transition Point Law is a full-service corporate law firm with an unrivaled expertise in transition point structures and negotiations. A TRANSITION POINT marks a significant shift or change from one state, condition, phase, or stage to another. In business and law, that is often one of five things: - A business break up - A divestiture or spin-off - A partner buyout or succession - An exit, sale or other M&A activity - Outside investment
