Danielle Falls is a transactional and intellectual property attorney who counsels clients on various corporate and transactional matters relating to beauty and cosmetics, entertainment, fine art, CPG/DTC and e-commerce. Danielle also serves as outside general counsel to a number of startups and emerging companies in the consumer space, advising on business strategy as well as corporate transactions, compliance, and risk exposure. Danielle advises beauty industry clients in distributor and vendor relations, intellectual property, brand protection, product counterfeiting, gray market and parallel import product diversion, trade secret, sales commission issues, contractor and employment relations, antitrust issues and regulatory compliance. Ms. Falls’ fine art and entertainment practices focus on helping clients exercise their First Amendment and fair use rights while creating work and developing and producing content; in doing so, she routinely counsels clients on individual legal and business risk tolerance, chain-of-title and rights analyses, clearance issues and pre-broadcast and pre-publication review. She also negotiates and structures a variety of deals, including celebrity and influencer agreements, licensing and distribution deals, commercial production agreements, and more. Danielle also advises on day-to-day intellectual property issues, including brand management, portfolio strategy, acquisitions, valuations, and protection and enforcement.
