Expertise and Skills Corporate Formation and General Business Law – I have extensive experience with the formation of corporations, limited liability companies, and partnerships. I am familiar with the structure and purpose of operating agreements, shareholder agreements, buy-sell agreements, right of first offer agreements, employment contracts, phantom stock plans, profit-based bonus plans, and employee stock option and employee stock purchase plans. Mergers & Acquisitions – I have extensive experience advising companies on the purchase or sale of other businesses, including due diligence, deal structure, tax issues, negotiation and drafting of acquisition agreements, formation of the acquisition entity, and closing transactions. In the last ten years, I have represented buyers or sellers in acquisitions with an aggregate value of over $500 million. Intellectual Property – I have extensive experience with the legal issues of intellectual property (trademark, copyright and patents), including perfecting these rights, licensing protected intellectual property, and enforcing these rights against infringers. Real Estate – I have extensive experience with the purchase, management, and sale of agricultural property, including sub-divisions, lot line adjustments, boundary line agreements, road easements, well and water line easements, leases, and management agreements. Alcoholic Beverage Law – I have extensive experience with federal and state alcoholic beverage law, federal and state alcoholic beverage license applications, trade practice issues, distribution issues, and broker, distribution, and marketing agreements. I have advised industry trade associations on federal and state regulatory policy and have drafted proposals for federal regulations and California laws, which have been successfully enacted.
