Personal Introduction

My firm is a referral-only boutique law firm devoted to representing the interests of sophisticated U.S. and foreign individuals, family offices, family limited partnerships, private investment funds and institutional taxable and tax-exempt investors involved in allocation, disposition and other types of monetization and investment transactions. We strive to have no more than 2-3 active matters underway at any time in order to maximize our client focus and responsiveness. We use client-first fee arrangements, including flat project fees, fee caps, in-kind payment in lieu of fees, installment payment plans and and deferred billing, in each case driven by hourly rates that average between 20%-50% lower than rates charged by global money center law firms (including those of which we are alums) for lawyers with similar experience. We require a retainer of 5%-50% of our estimated total compensation prior to commencing work. Absent extraordinary factors, we decline engagements with unsophisticated or financially impaired parties. Wealthy or prominent clients in particular often have legitimate need for opacity about their business dealings and personal/family matters. Our engagements with these clients are accompanied by a separate nondisclosure agreement under which we commit to maintain in strict confidence everything and anything we learn about that is not otherwise covered by attorney-client privileges and protections. We avoid social and professional innuendo regarding client identities and personal affairs. We do not trumpet client names or broadcast the successes we obtain for them in press releases, on websites, or via social media platforms. Our singular mission is to deliver exceptional results for clients … quietly, efficiently, and without having to troll for public validation of our achievements.

We advise clients on and negotiate, draft, review and file the agreements and instruments customarily involved in the following types of investment transactions: > purchase/sale of minority or control equity positions in operating companies and family businesses > private placement issuances of equity and debt securities and other capital raising and corporate finance transactions > negotiated purchases of private and public company equity and debt securities > formation and launch of, and investment in, private investment funds and vehicles: hedge funds, venture capital, private equity, private credit, real estate, qualified opportunity zone, commodities, cryptocurrency, and litigation funds, REITs, and Statutory Trusts > mergers, spin-offs, and recapitalizations > purchase/sale of collectible assets including art, vintage automobiles, timepieces, jewelry and gemstones, and various physical commodities > purchase of investment real property and/or rights/interests related to real property > purchase/sale/licensing of intangible assets and intellectual property rights. For individuals, the expectation of substantial proceeds from monetization events frequently requires that we interact with financial advisers, accountants and estate planning experts to develop flexible, tax efficient asset protection structures, usually involving domestic and non-U.S. based special purpose vehicles for receiving and managing initial and accumulated funds.
