Personal Introduction
I am a skilled draftsman and experienced corporate and finance attorney as well as a startup co-founder. My legal practice includes over 25 years working with dispositions and acquisitions of assets and equity; M&A and private equity; company formation; LLC and shareholder agreements; structured, bank and cross-border finance; private placements; and executive compensation. I provide advice and counsel to middle-market financial institutions, small businesses, early-stage entrepreneurs, and private investors. I apply my perspective from law, finance, and entrepreneurship to deliver well-rounded advice. As an associate at Simpson Thacher and as a partner at Mayer Brown, my work spanned a broad range of corporate law and finance transactions representing banks, borrowers, investors & family offices, and private equity sponsors, frequently in emerging markets. I have lived and worked in Brazil and Argentina for substantial periods. In Brazil I worked with Pactual Electra, a private equity fund, and as co-founder of ComJunta.com.br, an aggregate buying B2B. In Argentina I worked on legal matters ranging from debt restructuring to joint venture negotiations to cross-boarder M&A. I speak fluent Portuguese and Spanish and retain close ties with the region. I graduated cum laude from Dartmouth College with a B.A. in Government and from Cornell Law School, where I received my JD and served as Managing Editor of the Cornell Law Review. I also received a Masters in Management from Stanford's GSB.
