Rayna has represented public and private companies, private equity firms, venture capital firms, and investors. She has significant experience in corporate governance, venture capital financing, debt financing, mergers and acquisitions, SEC compliance, cross-border transactions, commercial contracts, and general corporate advice. Throughout her career, Rayna has advised startups, emerging growth companies, pre-IPO companies, and public companies, offering strategic counsel on everything from formations and corporate governance to complex transactions. As a trusted advisor to senior executives and boards of directors, she has played a pivotal role in guiding companies through intricate legal landscapes and strategic transactions. Rayna has represented clients in a wide range of industries including artificial intelligence, automotive, construction, energy, entertainment, fashion, food and beverage, gaming, healthcare, manufacturing, pharmaceutical, real estate, retail, semiconductors, and technology. Prior to joining Momentus Legal, Rayna was Counsel at O’Melveny & Myers LLP in Menlo Park, California. Rayna earned her J.D. at Santa Clara University School of Law and her B.S. in Political Science from the University of Oregon. Rayna was born and raised in Eugene, Oregon, and currently resides in the San Francisco Bay Area.
